Dear Mr. Beaty:

    I recently visited  my brother  in Petrolia,  and during  that time  I
again had the opportunity to look over your land on the north side of  the
Mattole River.

    I would like to make you the following offer on your 633 acre  parcel.
I am willing to pay the sum of $100,000 for the entire piece.  In cash, in
two equal annual payments of $50,000 each.

    As I have no desire to  subdivide or resell this land, the  restricted
access, steep terrain and limited water would be of no problem to me.   It
is my intention to use this  property as a residence, keeping  development
to an  absolute minimum  to preserve  the tranquility  and beauty  of  the
valley around Petrolia.  I feel that  the sum I am offering is  reasonable
in view of my intentions.

    I realize that  several members  of you  family must  be contacted  to
consider this offer, so  I have included two  extra copies of this  letter
for that purpose.  As I will be on a trip this month of September, you may
contact my brother  for immediate  furthur information  should you  desire
it.\.
